Part-time directors who share all the legal responsibilities of their executive colleagues on the Board of a company. The general view is that they can operate as an independent director able to take a long-term view of a company and protect the interests of shareholders. An investor will often appoint a non-executive to a board as one way of monitoring its investment (see paragraph 16, Section IV above).

Non-executive directors have the full powers and authority of any other director and can bind the company to any contract but it might be suspicious if a non-executive is signing contracts for trading goods and stock as they would not normally be involved. However they might well be signatory in large strategic contracts.

Usually a person with particular experience or skills who holds a seat on the Board to exercise a steadying influence on board decisions. His legal obligations to the company and creditors of skill and honesty are the same as those of an executive director.

He or she is not an employee of the company or affiliated with it in any other way. They are differentiated from inside directors, who are members of the board also serving as executive managers of the company (most often as corporate officers).
