A "Registration Statement" under the Securities Act of 1933 that a company files with the SEC to register its stock for sale. Form S-1 is generally the form used by a private company that is "going public." It contains the "Prospectus," along with a number of exhibits and other information about the company. The SEC staff reviews the Form S-1 and provides comments, which must be resolved with the staff before the public offering can go forward.
